Terms of Service

1. Acceptance of Terms

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

If you use the Platform on behalf of a company or other entity, you represent and warrant you have authority to bind that entity, and "you" includes that entity.

2. Definitions

• "Homeowner" means a person requesting information, estimates, or service through the Platform.
• "Contractor" or "Vendor" means a roofing company or professional using the Platform, including any contractor dashboard features.
• "Lead" means an inquiry, request, or opportunity generated from a Homeowner’s information or actions (including service requests and related data).
• "Credits" means prepaid, non-cash-value units that may be used within the Platform (for example, to access certain Contractor features).
• "Content" means text, images, data, questions, answers, messages, uploads, and other materials displayed or submitted through the Platform.

3. What We Provide (and What We Do Not)

Ontario Roofers operates an information and marketplace platform that may include: (1) connecting Homeowners with Contractors, (2) lead distribution and lead marketplace features, (3) calculators and estimation tools (e.g., roof and loan calculators), and (4) Q&A and content features.

We are not a roofing contractor and we do not perform roofing services. Contractors are independent third parties, not our employees, agents, partners, joint venturers, or subcontractors. Any contract for services is solely between Homeowner and Contractor.

While we do our best to continuously check for contractor compliance, we do not control, direct, or guarantee any Contractor’s workmanship, pricing, schedule, compliance, insurance, licensing, bonding, safety practices, or performance.

4. Eligibility

You must be at least 18 years old (or the age of majority where you live) to use the Platform. By using the Platform, you represent that you meet this requirement.

5. Accounts, Security, and Admin Access

Some Platform features require an account (for example, the Contractor dashboard). You agree to provide accurate information, keep it current, and maintain the confidentiality of your login credentials.

You are responsible for all activity that occurs under your account, whether or not you authorized it. You must promptly notify us of any suspected unauthorized use.

We may suspend or disable accounts (including administrative access) at any time as permitted by law and these Terms.

6. Lead Marketplace, Matching, and Disclosures

Homeowners may submit service requests and Contractors may receive access to Leads. Unless expressly stated otherwise by us in writing, Leads are not exclusive.

No lead quality guarantees. Leads are based on information provided by third parties and may be incomplete, inaccurate, outdated, duplicated, fraudulent, or otherwise unsuitable. We do not guarantee that a Lead will convert, that a Homeowner will respond, that a project exists, that budgets are accurate, or that a Contractor will win any work.

We may cap the number of times a Lead may be sold or shared, set time limits, redact personal information, or otherwise modify Lead availability and presentation.

Contractors are solely responsible for their communications with Homeowners and for complying with all applicable laws, including privacy, consumer protection, and anti-spam laws (including CASL), and for obtaining any required consents.

7. Credits, Pricing, Billing, and Taxes (Contractors)

If you purchase Credits or other paid features, you authorize us and/or our payment processors (e.g., Stripe) to charge your payment method for the amounts shown at checkout, including applicable taxes.

Credits are not currency, have no cash value, are not a bank account or stored value product, and (unless required by law) are non-refundable and non-transferable. We may change Credit pricing, bundles, and the actions that require Credits at any time.

You are responsible for any taxes, levies, duties, or similar governmental assessments of any kind associated with your purchases or use of the Platform, except for taxes based on our net income.

No refunds for lead outcomes. Purchases are for access to platform functionality and opportunities. We do not provide refunds or credits for Leads that do not convert, are not responded to, have inaccurate details, or otherwise do not meet your expectations, except to the extent required by applicable law.

8. Homeowner Requests, Tracking Links, and Communications

If you submit a service request, you understand that we may share your information with Contractors who match your request, and Contractors may contact you using the contact information you provided.

Some requests may be accessible through a unique tracking link. You are responsible for safeguarding any tracking link and for not sharing it with unauthorized parties.

You agree not to submit sensitive personal information unless specifically requested by the Platform and necessary for the request.

9. Q&A, Articles, and Informational Content

The Platform may include Q&A features where users can submit questions, receive responses, and view publicly posted content.

Not professional advice. Any information provided through Q&A, articles, or other content is for general informational purposes only and should not be relied upon as professional, legal, financial, engineering, or construction advice. You are solely responsible for verifying information and obtaining appropriate professional guidance for your situation.

10. Calculators and Estimators

Calculators and estimators (including roof cost and loan calculators) provide rough estimates based on inputs you provide and assumptions that may not match real-world conditions.

No guarantees. We do not guarantee accuracy, completeness, or suitability for any purpose, and you use these tools at your own risk. You should obtain on-site inspections and professional quotes before making decisions.

Additional terms may apply to certain tools or features. If supplemental terms conflict with these Terms, the supplemental terms control for that specific feature.

11. Roof Measurements

Roof measurement data, reports, imagery, and derived outputs ("Measurements") are provided solely for a Contractor’s internal business use in connection with evaluating, estimating, and performing roofing services on the associated project.

No resale or distribution. Measurements may not be sold, sublicensed, distributed, shared, or otherwise made available to any third party, except to the extent required to perform the specific project for the Homeowner (e.g., a licensed subcontractor under your supervision) and only with appropriate confidentiality safeguards.

Accuracy and reliance. Measurements are provided “as is” and may be approximate or incomplete due to imagery limitations or third-party data sources. You are solely responsible for verifying measurements and site conditions before beginning work or issuing final quotes. Ontario Roofers disclaims all liability for decisions or outcomes based on Measurements.

12. Prohibited Conduct

• Use the Platform for unlawful, fraudulent, or harmful purposes.
• Circumvent, disable, or interfere with security, rate limits, access controls, or usage restrictions.
• Scrape, harvest, or collect data or personal information from the Platform except as explicitly permitted through the Platform’s intended functionality.
• Submit false, misleading, or infringing information or Content.
• Send spam or unsolicited communications, or misuse Lead information.
• Reverse engineer, decompile, attempt to discover source code, or create derivative works from the Platform, except to the extent such restriction is prohibited by law.
• Impersonate others, misrepresent affiliation, or attempt to access accounts or data not belonging to you.

13. User Content and License

You retain ownership of Content you submit, subject to the license granted below. You represent and warrant that you have all rights necessary to submit your Content and that it does not violate any law or third-party rights.

By submitting Content, you grant Ontario Roofers a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, modify (for formatting and display), distribute, and display such Content in connection with operating, improving, and promoting the Platform.

We may remove Content at any time for any reason, including if we believe it violates these Terms or creates risk.

14. Intellectual Property

The Platform, including its software, design, branding, and all related intellectual property rights, are owned by Ontario Roofers and/or its licensors. Except for the limited right to use the Platform as described in these Terms, no rights are granted to you.

15. Third-Party Services and Links

The Platform may integrate with or rely on third-party services (for example, payment processors and hosting). We are not responsible for third-party services and your use of them may be subject to their own terms and policies.

16. Disclaimers

Platform provided “as is”. To the maximum extent permitted by applicable law, the Platform and all Content are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that defects will be corrected.

Contractor services are third-party services. We do not warrant or guarantee any Contractor services, outcomes, pricing, warranties, permits, inspections, compliance, or results.

17. Limitation of Liability

To the maximum extent permitted by applicable law:

• Ontario Roofers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, business opportunities, or anticipated savings.
• Ontario Roofers will not be liable for any damages arising out of or related to: (a) any Contractor’s services or conduct, (b) any Homeowner request or communications, (c) any Lead quality, availability, duplication, fraud, or conversion, (d) any decisions made based on calculators, estimators, Q&A, or Content, or (e) your inability to use the Platform.
• Ontario Roofers’ total aggregate liability for all claims in any 12-month period will not exceed the greater of: (a) the amounts you paid to Ontario Roofers for paid features in that 12-month period, or (b) $100 CAD.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

18. Indemnification

You agree to defend, indemnify, and hold harmless Ontario Roofers and its owners, directors, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform, (b) your Content, (c) your communications or transactions with any third party, (d) your violation of these Terms, or (e) your violation of any law or third-party rights.

19. Suspension, Termination, and Survival

We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including if we believe you have violated these Terms or if continuing to provide the Platform would create risk.

Upon termination, your right to use the Platform stops immediately. Sections that by their nature should survive termination will survive, including Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

20. Changes to the Platform and Terms

We may modify or discontinue any part of the Platform at any time.

We may update these Terms from time to time. Unless otherwise stated, updates are effective when posted. Your continued use of the Platform after the effective date of updated Terms constitutes acceptance.

21. Governing Law and Venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws rules.

To the extent permitted by applicable law, you agree that any dispute arising out of or related to these Terms or the Platform will be brought exclusively in the courts located in Ontario, Canada, and you consent to personal jurisdiction and venue there.
